1. Introduction
This End User License Agreement ("EULA") is a legally binding agreement between you ("User") and WinSync ("Company") regarding the use of the WinSync application ("App").

 

By downloading, installing, or using the App, you agree to be bound by the terms of this EULA. If you do not agree, you must not use the App and should uninstall it immediately.

2. Grant of License

• License: WinSync grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, subject to compliance with this EULA.

• Restrictions: You may not:

  • Copy, modify, distribute, sell, sublicense, or lease any part of the App.

  • Reverse-engineer, decompile, or attempt to extract the source code of the App.

  • Use the App for illegal, unauthorized, or prohibited activities.

  • Interfere with the App’s security, integrity, or proper functioning.

  • Violate any third-party rights, including intellectual property or privacy rights.

3. Ownership & Intellectual Property

• WinSync retains full ownership of the App, including all software, logos, trademarks, content, and associated intellectual property.

• This EULA does not grant you any ownership rights over the App or its content.

• Unauthorized use of WinSync trademarks, branding, or materials is strictly prohibited.

4. User Responsibilities

By using the App, you agree:

• You are at least 18 years old (or the minimum legal age in your jurisdiction).

• You are solely responsible for ensuring compliance with your local laws.

• You must not use WinSync for gambling, wagering, or illegal financial transactions.

• You are responsible for maintaining your account security and preventing unauthorized access.

5. Payments & Transactions

• WinSync does not process or enforce payments between users.

• WinSync is not responsible for financial disputes arising between users.

• Users must comply with all applicable financial and tax laws related to their transactions.

• No stored balances—WinSync does not act as a bank, escrow, or money transmitter.

6. Data Collection & Privacy

• WinSync collects and processes user data in accordance with our Privacy Policy.

• By using the App, you consent to the collection and use of your data as outlined in our Privacy Policy.

• WinSync does not sell personal data to third parties.

7. Termination & Account Suspension

• WinSync reserves the right to suspend or terminate your account without notice if:

  • You violate any terms of this EULA.

  • You use the App for prohibited activities (e.g., gambling, fraud, hacking).

  • Your actions create legal risk or harm the integrity of the App.

• Upon termination, you must immediately stop using the App.

8. No Warranty & Disclaimers

• The App is provided "as is" and "as available" without warranties of any kind.

• WinSync does not guarantee uninterrupted, error-free service or data security.

• WinSync is not responsible for lost data, financial losses, or user disputes.

• Use of the App is at your own risk.

9. Limitation of Liability

• To the maximum extent permitted by law, WinSync and its affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the App.

• This includes, but is not limited to, financial loss, lost data, unauthorized access, or any disputes between users.

• If you are dissatisfied with the App, your only remedy is to stop using it.

10. Indemnification

• You agree to indemnify and hold harmless WinSync from any legal claims, damages, or liabilities arising from:

  • Your violation of this EULA.

  • Your misuse of the App.

  • Your failure to comply with local laws regarding contests or financial transactions.

11. Updates & Modifications

• WinSync may update or modify this EULA at any time.

• Continued use of the App constitutes acceptance of the updated terms.

• Users are responsible for reviewing the latest version of the EULA.

12. Governing Law & Legal Compliance

• This EULA is governed by the laws of Wisconsin, USA, without regard to conflict of law principles.

• Users must comply with all local, state, and federal laws regarding skill-based contests and financial transactions.

13. Dispute Resolution

• Any disputes arising from this EULA shall be resolved through binding arbitration, rather than in court.

• Users waive their right to participate in class-action lawsuits against WinSync.

• Arbitration will take place in Wisconsin, USA unless otherwise required by law.
